Role Overview: As a General Counsel at our company, you will play a crucial role in supporting growth of the company in the German market. This position offers a unique opportunity to contribute to the clean energy landscape in Germany, working on groundbreaking battery projects that promote environmental sustainability

Key Responsibilities:

  • Legal Support: Provide legal advice to Management and Board of Directors as well as other departments in each of the following phases of new battery projects: development, construction, operation and M&A transactions. Manage and supervise outside counsel within budgetary constraints
  • Contract Management: Draft, review, and negotiate a wide range of contracts related to battery projects, including land lease and purchase agreements, EPCs O&M, power purchase agreements (PPAs) and service contracts. Coordinate with outside counsel all legal aspects in connection with construction finance activities.
  • Regulatory Compliance: Ensure compliance with German laws and regulations applicable to energy projects, including environmental, planning, and energy market regulations
  • Risk Management: Proactively identify and advise on legal risks associated with project development, construction and operations, proposing mitigation strategies to manage such risks effectively
  • Stakeholder Engagement: Liaise with internal teams, external counsel and other stakeholders to facilitate project development and address legal issues
  • Compliance with internal policies: Ensure all legal operations adhere to internal policies and procedures, promoting a culture of compliance within the organization
  • Corporate: Manage the corporate activities of the German companies (keeping and updating books and records, supervising the incorporation of companies, preparing and implementing power of attorneys, and organizing the role of directors/officers of project & special purpose companies)
  • Litigation: Assist with respect to management of litigation and other dispute resolution processes with outside counsels. 

Qualifications:

  • Law degree from a recognized university in Germany
  • Admission to practice law in Germany with a minimum of 5 years of post-qualification experience
  • Significant experience with respect to transactions in the energy industry, EPC and procurement, project development and/or financing operations 
  • Ability to take lead and have a proactive approach on any responsibilities within the job description
  • Ability to work independently and as a team member; ability to set priorities, identify risks and to respond to changing demands from multiple source; ability to manage internal and external resources
  • Business acumen and reporting skills
